{"id":3632,"date":"2021-05-06T10:13:36","date_gmt":"2021-05-06T17:13:36","guid":{"rendered":"https:\/\/dev.darsky.com\/dalton\/?p=3632"},"modified":"2021-05-06T10:13:37","modified_gmt":"2021-05-06T17:13:37","slug":"this-weeks-media-coverage","status":"publish","type":"post","link":"https:\/\/dev.darsky.com\/dalton\/this-weeks-media-coverage\/","title":{"rendered":"This Week&#8217;s Media Coverage"},"content":{"rendered":"\n<p><strong>May 6, 2021<\/strong><\/p>\n\n\n\n<p>In this week\u2019s issue of a monthly magazine, there is an article about TENMA CORPORATION, in which Dalton Investments (\u201cDalton\u201d) serves as a major shareholder on behalf of the accounts under Dalton\u2019s discretionary management. The article introduces a view to the effect that: \u201cDue to the close relationship between Mr. Hiroshi Kaneda and Dalton, Dalton is a \u2018Person in Special Relationship\u2019 of Mr. Kaneda under the TOB regulations, and the acquisition of TENMA shares by FHL Holdings, Inc., a \u2018Joint Holder\u2019 of Mr. Kaneda, should have been through a tender offer because the total of FHL\u2019s, Mr. Kaneda\u2019s and Dalton\u2019s holdings of TENMA shares after the above acquisition exceeded one-third of the total number of issued and outstanding TENMA shares.\u201d<\/p>\n\n\n\n<p>However, the above view is a mistake based on a misunderstanding of the facts. Dalton is not a \u2018Joint Holder\u2019 of Mr. Kaneda under the Financial Instruments and Exchange Law (the \u201cFIEL\u201d) and is not a \u201cPerson in Special Relationship\u201d of Mr. Kaneda.<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>Under the FIEL, where a holder (X) of shares of a company agrees with another holder (Y) to jointly (1) acquire or (2) transfer said shares, or to jointly (3) exercise the voting and other rights as a shareholder of said company, such another holder (Y) is a \u2018Joint Holder\u2019 (of X).<\/li><li>Dalton has never acquired or transferred TENMA shares jointly with Mr. Kaneda.<\/li><li>Dalton has no agreement with Mr. Kaneda to exercise any voting or other rights as a TENMA shareholder. Dalton uses its own judgment to determine all of its actions as a shareholder of TENMA.<\/li><\/ul>\n\n\n\n<p>As above, Dalton is not a \u2018Joint Holder\u2019 of Mr. Kaneda. In addition, Dalton is not a \u2018Person in Special Relationship\u2019 (as defined by the FIEL) of Mr. Kaneda. Therefore, the view introduced by the above mentioned article, which argues\u00a0that there was a violation of the TOB regulations under the FIEL, is incorrect.<\/p>\n\n\n\n<p>\u4e00\u90e8\u5831\u9053\u306b\u3064\u3044\u3066<\/p>\n\n\n\n<p>\u4eca\u9031\u767a\u58f2\u306e\u6708\u520a\u96d1\u8a8c\u306b\u3001\u30c0\u30eb\u30c8\u30f3\u30fb\u30a4\u30f3\u30d9\u30b9\u30c8\u30e1\u30f3\u30c4\u30fb\u30a8\u30eb\u30a8\u30eb\u30b7\u30fc\uff08\u300c\u30c0\u30eb\u30c8\u30f3\u300d\uff09\u304c\u5927\u682a\u4e3b\u3067\u3042\u308b\u5929\u99ac\u682a\u5f0f\u4f1a\u793e\u306b\u95a2\u3059\u308b\u8a18\u4e8b\u304c\u3054\u3056\u3044\u307e\u3057\u305f\u3002\u540c\u8a18\u4e8b\u306f\u3001\u300c\u91d1\u7530\u5b8f\u6c0f\u3068\u30c0\u30eb\u30c8\u30f3\u306e\u5bc6\u63a5\u6027\u304b\u3089\u3001\u516c\u958b\u8cb7\u4ed8\u3051\u898f\u5236\u306e\u4e0b\u3001\u30c0\u30eb\u30c8\u30f3\u304c\u91d1\u7530\u6c0f\u306e\u300e\u7279\u5225\u95a2\u4fc2\u8005\u300f\u306b\u3042\u305f\u308a\u3001\u91d1\u7530\u6c0f\u306e\u5171\u540c\u4fdd\u6709\u8005\u305f\u308bFHL\u30db\u30fc\u30eb\u30c7\u30a3\u30f3\u30b0\u30b9\u682a\u5f0f\u4f1a\u793e\u306b\u3088\u308b\u5929\u99ac\u682a\u5f0f\u306e\u53d6\u5f97\u306f\u3001\u540c\u53d6\u5f97\u5f8c\u306b\u304a\u3051\u308bFHL\u793e\u3001\u91d1\u7530\u6c0f\u53ca\u3073\u30c0\u30eb\u30c8\u30f3\u306e\u5929\u99ac\u682a\u4fdd\u6709\u3092\u5408\u7b97\u3059\u308b\u3068\u767a\u884c\u6e08\u307f\u682a\u5f0f\u7dcf\u6570\u306e3\u5206\u306e1\u3092\u8d85\u3048\u308b\u305f\u3081\u3001\u516c\u958b\u8cb7\u4ed8\u3051\u3092\u884c\u3046\u5fc5\u8981\u304c\u3042\u3063\u305f\u300d\u306a\u3069\u3068\u3059\u308b\u898b\u89e3\u3092\u7d39\u4ecb\u3057\u3066\u3044\u307e\u3059\u3002<\/p>\n\n\n\n<p>\u3057\u304b\u3057\u306a\u304c\u3089\u3001\u4e0a\u8a18\u898b\u89e3\u306f\u4e8b\u5b9f\u8aa4\u8a8d\u306b\u57fa\u3065\u304f\u8aa4\u89e3\u3067\u3059\u3002\u30c0\u30eb\u30c8\u30f3\u306f\u91d1\u878d\u5546\u54c1\u53d6\u5f15\u6cd5\u306e\u4e0b\u3001\u91d1\u7530\u6c0f\u306e\u5171\u540c\u4fdd\u6709\u8005\u306b\u5f53\u305f\u3089\u305a\u3001\u540c\u6c0f\u306e\u7279\u5225\u95a2\u4fc2\u8005\u306b\u3082\u8a72\u5f53\u3057\u307e\u305b\u3093\u3002<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>\u91d1\u5546\u6cd5\u306f\u3001\u300c\u5171\u540c\u4fdd\u6709\u8005\u3068\u306f\u682a\u5238\u7b49\u306e\u4fdd\u6709\u8005\uff08\uff38\uff09\u304c\u3001\u5f53\u8a72\u682a\u5238\u7b49\u306e\u767a\u884c\u8005\u304c\u767a\u884c\u3059\u308b\u682a\u5238\u7b49\u306e\u4ed6\u306e\u4fdd\u6709\u8005\uff08\uff39\uff09\u3068\u3001\u5171\u540c\u3057\u3066\u3001(1)\u5f53\u8a72\u682a\u5238\u7b49\u3092\u53d6\u5f97\u3057\u3001\u82e5\u3057\u304f\u306f(2)\u8b72\u6e21\u3057\u3001\u53c8\u306f(3)\u5f53\u8a72\u767a\u884c\u8005\u306e\u682a\u4e3b\u3068\u3057\u3066\u306e\u8b70\u6c7a\u6a29\u305d\u306e\u4ed6\u306e\u6a29\u5229\u3092\u884c\u4f7f\u3059\u308b\u3053\u3068\u3092\u5408\u610f\u3057\u3066\u3044\u308b\u5834\u5408\u306b\u304a\u3051\u308b\u5f53\u8a72\u4ed6\u306e\u4fdd\u6709\u8005\uff08\uff39\uff09\u3092\u3044\u3046\u300d\u65e8\u306e\u898f\u5b9a\u3092\u304a\u3044\u3066\u3044\u307e\u3059<\/li><li>\u30c0\u30eb\u30c8\u30f3\u306f\u91d1\u7530\u6c0f\u3068\u5171\u540c\u3057\u3066\u5929\u99ac\u682a\u5f0f\u3092\u53d6\u5f97\u82e5\u3057\u304f\u306f\u8b72\u6e21\u3057\u305f\u4e8b\u5b9f\u306f\u3054\u3056\u3044\u307e\u305b\u3093\u3002<\/li><li>\u30c0\u30eb\u30c8\u30f3\u306f\u91d1\u7530\u6c0f\u3068\u5929\u99ac\u682a\u4e3b\u3068\u3057\u3066\u306e\u8b70\u6c7a\u6a29\u305d\u306e\u4ed6\u306e\u6a29\u5229\u3092\u884c\u4f7f\u3059\u308b\u3053\u3068\u3092\u5408\u610f\u3057\u3066\u3044\u308b\u3068\u3044\u3046\u4e8b\u5b9f\u306f\u3054\u3056\u3044\u307e\u305b\u3093\u3002\u30c0\u30eb\u30c8\u30f3\u306f\u3001\u682a\u4e3b\u3068\u3057\u3066\u306e\u884c\u52d5\u3092\u3059\u3079\u3066\u72ec\u81ea\u306e\u5224\u65ad\u306b\u3088\u3063\u3066\u6c7a\u5b9a\u3057\u3066\u3044\u307e\u3059\u3002<\/li><\/ul>\n\n\n\n<p>\u4e0a\u8ff0\u306b\u7167\u3089\u3057\u3001\u30c0\u30eb\u30c8\u30f3\u306f\u91d1\u7530\u6c0f\u306e\u5171\u540c\u4fdd\u6709\u8005\u306b\u5f53\u305f\u308a\u307e\u305b\u3093\u3002\u307e\u305f\u3001\u91d1\u5546\u6cd5\u304c\u5b9a\u7fa9\u3059\u308b\u7279\u5225\u95a2\u4fc2\u8005\u306b\u3082\u8a72\u5f53\u3057\u307e\u305b\u3093\u3002\u5f93\u3063\u3066\u3001\u91d1\u5546\u6cd5\u4e0a\u306e\u516c\u958b\u8cb7\u4ed8\u3051\u898f\u5236\u306e\u9055\u53cd\u304c\u3042\u3063\u305f\u304b\u306e\u5982\u304f\u8ad6\u305a\u308b\u4e0a\u8a18\u8a18\u4e8b\u304c\u7d39\u4ecb\u3059\u308b\u898b\u89e3\u306f\u8aa4\u308a\u3067\u3059\u3002<\/p>\n\n\n\n<p>                                                          <\/p>\n\n\n\n<p><\/p>\n\n\n\n<p><\/p>\n\n\n\n<p><\/p>\n\n\n\n<p><\/p>\n","protected":false},"excerpt":{"rendered":"<p>May 6, 2021 In this week\u2019s issue of a monthly magazine, there is an article about TENMA CORPORATION, in which Dalton Investments (\u201cDalton\u201d) serves as a major shareholder on behalf of the accounts under Dalton\u2019s discretionary management.
