{"id":3355,"date":"2020-05-27T19:27:03","date_gmt":"2020-05-28T02:27:03","guid":{"rendered":"https:\/\/dev.darsky.com\/dalton\/?p=3355"},"modified":"2025-04-30T13:13:15","modified_gmt":"2025-04-30T20:13:15","slug":"dalton-investments-llc-opposes-minority-shareholder-proposal-for-tenma-corporation-agrees-to-companys-own-nominations","status":"publish","type":"post","link":"https:\/\/dev.darsky.com\/dalton\/dalton-investments-llc-opposes-minority-shareholder-proposal-for-tenma-corporation-agrees-to-companys-own-nominations\/","title":{"rendered":"Dalton Investments LLC opposes minority shareholder proposal for Tenma Corporation, agrees to company\u2019s own nominations"},"content":{"rendered":"\n<p><strong>May 27, 2020<\/strong>z<\/p>\n\n\n\n<p>In advance of the Annual General Meeting of Tenma Corporation (\u201cTenma\u201d) to be held in June of 2020, Dalton Investments LLC (\u201cDalton\u201d) provides the following analysis of the proposals anticipated to be brought before the meeting.&nbsp; As of March 31, 2020, Dalton manages and\/or advises certain entities with aggregate holdings of over 13% of Tenma shares.<\/p>\n\n\n\n<p>For Tenma\u2019s Annual General Meeting, minority shareholder Mr. Osamu Tsukasa has proposed nominating his own CEO and board members, as opposed to Tenma\u2019s own nominations.<\/p>\n\n\n\n<p>Dalton, as a long-term shareholder with a track record of constructive engagement with the management of Tenma, supports the company\u2019s nominations, not those of the minority shareholder Mr. Tsukasa. The management of Tenma has always been open to dialogue and engagement with shareholders, and in 2019 improved its capital policy including a Dividend-on-Equity (DOE) based dividend policy and cancellation of treasury shares in addition to the improvement of its underlying businesses. We commend the management of Tenma for their tireless efforts to enhance shareholder value.<\/p>\n\n\n\n<p>While Dalton takes the April 2nd committee investigation report seriously, Dalton has seen evidence of management\u2019s determination to address corporate governance issues, including &nbsp;announcements&nbsp; to change the representative director, dismiss the honorary chairman (as requested by a third-party committee), and implement measures to prevent future erosion of corporate governance standards. Dalton opposes the candidates in the minority shareholder\u2019s proposals because (1) Dalton supports the continuity of Tenma\u2019s current management, (2) the shareholder proposal was put forward by Mr. Tsukasa, the ex-honorary chairman who was terminated by the board for his inappropriate influence and behavior, and (3) the proposal includes candidates who oppose the company\u2019s nominations. <\/p>\n\n\n\n<p>Dalton supports the company\u2019s nominations because they provide continuity of the management (Mr. Kaneda and Mr. Sudo), and encourage diversity and independence. Toward that end, Tenma and Dalton have agreed to propose Mr. Shiro Hayashi, Representative Director and CEO of Dalton Advisory KK, as a candidate for board director of Tenma. Both Tenma and Dalton believe that the addition of a candidate with the perspective of minority shareholders and experience in capital markets will be positive for long-term value creation at
